Legal framework for collaboration with CREATIV DIGITAL AGENCY SRL

These Terms and Conditions ("Terms") govern the use of services delivered by CREATIV DIGITAL AGENCY SRL and define the rights and obligations of the parties during collaboration for software development, web design, mobile apps and digital marketing services.

2. Definitions
"Provider" - CREATIV DIGITAL AGENCY SRL
"Client" - the individual or legal entity using our services
"Services" - software development, web design, mobile applications, automation, SEO and marketing
"Project" - the set of deliverables and specific services contracted (for example website, application, campaign)
"Contract" - the specific service agreement signed between the parties

4. Collaboration Process
Initial Consultation
Free analysis of the client's needs and goals, followed by a custom proposal.
Contract Signing
Detailed agreement on services, timelines, pricing and payment terms.
Implementation
Service execution according to the agreed plan, with periodic reporting.
Monitoring and Optimization
Result tracking and continuous adjustments to improve performance.
5. Provider Obligations

- •Comply with GDPR and applicable legislation
6. Client Obligations
- •Pay services according to the contract terms
- •Provide access and information needed to deliver the services
- •Collaborate constructively and provide requested feedback
- •Follow provider recommendations for better outcomes
- •Promptly communicate any relevant changes
- •Respect intellectual property rights
7. Pricing and Payment Methods
Pricing
Prices are determined by project complexity, required resources and estimated duration. All prices are communicated in RON and include VAT.

Payment Terms
For one-time services: 50% advance at contract signing, 50% at completion.
For recurring services: monthly payment in advance by day 5 of each month.
8. Intellectual Property and Copyright
Source Code and Deliverables
Upon full payment, the Client becomes the exclusive owner of custom source code, visual assets and content created specifically for their project.
Pre-existing Technologies (Background IP)
CREATIV DIGITAL AGENCY SRL retains rights over methodologies, reusable code libraries, frameworks and internal tools ("Background IP") used in the project. The Client receives a non-exclusive, perpetual and non-transferable license to use these components as part of the final product.
Open Source Components
Projects may include open source components. These remain subject to their own licenses (MIT, Apache, GPL, etc.), and the Provider ensures compatibility with project objectives.
9. Warranty and Technical Support (SLA)
Warranty Period
We provide a 30-90 day warranty period (specified in contract) from launch, for free remediation of bugs or functional errors against agreed specifications.
Maintenance and Support
After the warranty period, maintenance, security updates and technical support are delivered through monthly plans or hourly rates, according to the agreed SLA.
Warranty Exclusions
Warranty does not cover issues caused by client or third-party modifications, third-party platform updates (iOS, Android, browsers), or hosting not managed by us.
10. Limitation of Liability
⚠️ Software & Service Limitations
- • Software is provided "as is". We do not guarantee it will be completely bug-free.
- • We are not liable for operation of third-party services (Google/Facebook APIs, Stripe, third-party hosting).
- • We are not responsible for data losses caused by unauthorized access when standard security controls were applied.
- • Total liability is limited to the amount paid by the Client in the last 6 contractual months.
11. Confidentiality
Both parties agree to keep confidential all commercial, technical and strategic information accessed during collaboration.

Confidentiality Duration
Confidentiality obligations remain in force throughout the contract and for 5 years after termination.
12. Contract Termination
Termination by Mutual Agreement
The contract may be terminated by mutual agreement with 30 days prior notice.
Termination for Breach
If essential obligations are not met, the affected party may terminate the contract with 15 days prior notice.
Effects of Termination
Upon termination, ongoing activities are finalized, results are handed over, and delivered services are settled.
13. Dispute Resolution
🤝 Amicable Resolution
Parties commit to attempt resolution through direct negotiations for 30 days.
⚖️ Competent Jurisdiction
Disputes will be resolved by competent courts in Bucharest, Romania, under Romanian law.
📋 Mediation
Before court proceedings, parties may opt for mediation through the Bucharest Chamber of Commerce Mediation Center.
14. Changes to Terms
CREATIV DIGITAL AGENCY SRL reserves the right to amend these Terms and Conditions. Changes will be communicated to clients at least 30 days before entering into force.
Acceptance of Changes
Continued use of services after the effective date of changes constitutes acceptance of the updated terms.

These Terms and Conditions have been effective since June 27, 2025 and apply to all contracts and services delivered by CREATIV DIGITAL AGENCY SRL.
